Background and Experience

Peter graduated from the University of Western Australia in 1998 with a Bachelor of Laws and a Bachelor of Commerce (Finance). He subsequently completed a Master of Applied Finance and Investment with FINSIA (formerly the Securities Institute of Australia). Peter joined Steinepreis Paganin in January 2000 and was appointed a Partner on 1 July 2005.

Peter is a leading practitioner in both mergers and acquisitions (M&A) and equity capital markets (ECM), and is regularly engaged on transactions that draw on the two in combination.

In M&A, Peter advises on the full range of control and strategic transactions, including off-market and on-market takeover bids, schemes of arrangement, share and asset acquisitions and disposals, joint ventures and farm-in arrangements. He acts for bidders and targets in both public and private transactions across the full transaction cycle, from structuring and early engagement through to Takeovers Panel and regulatory dealings, and is valued for combining technical rigour with a clear commercial view of what will actually get a deal done.

In ECM, Peter has advised on numerous successful IPOs and back door listings on ASX, together with placements, entitlement offers, share purchase plans, convertible note issues and the re-compliance processes that follow a change in the nature and scale of a listed entity’s activities.

His finance background and public company director experience give him a practical understanding of how transactions are negotiated, priced, underwritten and marketed, not simply how they are documented.

Peter also specialises in corporate reconstructions and recapitalisations of listed entities, acting as principal or alternatively as adviser to the transaction. His other core areas of practice include energy and natural resources, technology, life sciences, corporate and strategic advice, securities law, commercial law and contract law, with significant experience in cross border transaction.

Peter has also served as a non-executive director (mostly as Chair) of a number of ASX listed companies.
